2. Contract Duration

The Freelancer agrees to complete the project within [number of months/weeks], with the exact timeline to be agreed upon by both parties at the start of the project.

Unexpected complications: In the event of unforeseen complications or factors beyond the Freelancer’s control (e.g., additional requests from the Client, technical issues, delays by the Client in providing necessary materials), the timeline may be extended. The Client will be informed in writing, and both parties will agree on a new deadline.

3. Payment

The Client will pay the Freelancer [amount] excluding VAT. Payments will be divided as follows:

•40% upon signing the contract.

•30% upon final delivery.

Payments are due within 7 days of receiving the invoice.

4. Specification Changes

Any changes to the original project specification will be agreed upon in writing and will affect the final price and deadline for project completion. Changes will be negotiated via email or official documentation. The Freelancer will prepare a price quote for each change, and the Client will confirm it in writing. These changes may significantly affect the project delivery time.

5. Revisions

The Freelancer includes up to 5 rounds of revisions in the price. The Client is entitled to a maximum of 5 revisions or changes at no additional cost. If the Client requires more than 5 revisions, an hourly rate of €25 to €100 will be charged, depending on the complexity of the requests.

Minor content changes (e.g., text changes or replacing images) are included in the price and can be made at any time during the project.

If additional changes affect the timeline or project cost, the Freelancer will inform the Client in writing, and they will agree on the next steps.

The Freelancer guarantees that the completed website will meet all functional requirements listed in the technical specification and will be free from major errors. A major error is defined as an issue that significantly limits the functionality of the website and prevents users from completing key tasks (e.g., purchasing a product or registering an account).

The Freelancer will provide website maintenance and support services for 24 months from the final project handover. These services include:

•Resolution of technical issues, including fixing major errors.

•Security updates.

Maintenance Terms:

•The Client agrees to maintain the maintenance contract for a minimum of 24 months. After this period, the contract will automatically be extended for an additional 12 months unless either party gives written notice of their intention to terminate the contract at least 30 days before the contract’s expiration.

7. Data Protection

Both the Freelancer and the Client agree to comply with the applicable data protection laws, particularly GDPR. The Freelancer will take all necessary technical and organizational measures to protect personal data from unauthorized access, alteration, disclosure, destruction, or loss.

In the event of a payment delay of more than 14 days, the Freelancer reserves the right to charge interest on the overdue amount at the rate of 5% per month.

11. Force Majeure

Neither party shall be liable for any failure to perform their obligations under this agreement if such failure was caused by an event that could not have been foreseen or controlled (e.g., natural disasters, wars, acts of terrorism, pandemics, etc.).
